These Terms of Service (the "Terms") govern your access to and use of the Statbook.io platform (the "Service") provided by 1000482371 Ontario Inc. ("Statbook", "we", "us", or "our"), operating as Statbook.io.
By accessing or using the Service, or by clicking "I Accept" or similar during signup or account creation, you (the "Client", "you", or "your") agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
1. Definitions
Service: The Statbook.io cloud-based accounting, project management, and related tools, including any payment processing features.
Client Data: Any data, information, or content you upload, submit, or generate through the Service.
Payment Services: Credit card, EFT, ACH, and other transaction processing facilitated through the Service via our integration with Shift4.
Shift4: Shift4 Payments (including Bambora), the third-party payment processor integrated with the Service. Merchant help and documentation are available at help.na.bambora.com.
2. The Service
We provide you with access to the Statbook.io platform for accounting and project management. We may update or modify the Service from time to time.
3. Account Management and Onboarding
Accounts are created and managed by an administrator designated by Statbook.
You will be provided with login credentials for a key user who can manage additional user accounts and settings.
You are responsible for maintaining the confidentiality of all login credentials and for all activities that occur under your account(s).
You agree to provide accurate and complete information during onboarding and to keep it updated.
4. Payment Processing Services
The Service includes optional Payment Services powered by our integration with Shift4.
To use Payment Services, you must complete Shift4's merchant onboarding process and enter into a separate Merchant Agreement directly with Shift4.
Statbook acts solely as a technology platform provider that facilitates access to Shift4's services. We do not process payments ourselves.
You acknowledge that you are solely responsible for complying with your obligations under your direct Merchant Agreement with Shift4. Statbook is not a party to that agreement and has no liability for Shift4's services, fees, chargebacks, or performance.
5. Client Obligations
You agree to:
Use the Service only for lawful business purposes and in compliance with all applicable Canadian laws.
Maintain accurate books, records, and transaction data.
Not use the Service for any high-risk or prohibited activities.
Promptly notify us of any security incidents or unauthorized access to your account.
6. Client Data and Privacy
You retain ownership of your Client Data. You grant us a limited license to use, host, and process it solely to provide the Service.
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated by reference.
7. Fees and Payment
You shall pay Statbook the fees for the Service as invoiced or as otherwise agreed between the parties. All payments are non-refundable except as required by law.
8. Intellectual Property
The Service and all related technology are owned by or licensed to Statbook. You receive a limited, revocable, non-exclusive right to use the Service during the term. You grant us the right to use your name, logo, and trademarks (if applicable) to identify you as a user of the Service.
9. Warranties and Disclaimers
The Service is provided "AS IS". We disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose. We do not warrant uninterrupted or error-free operation.
10. Limitation of Liability
To the maximum extent permitted by law, Statbook's total liability shall not exceed the amounts paid by you to Statbook in the twelve (12) months preceding the claim. We shall not be liable for indirect, consequential, or punitive damages.
11. Term and Termination
These Terms begin on the date you accept them and continue until terminated. Either party may terminate with written notice. We may suspend or terminate your access immediately for breach of these Terms.
12. Indemnification
You agree to indemnify and hold harmless Statbook, its officers, directors, employees, and agents from any claims, losses, or damages arising from your use of the Service, your Client Data, or your breach of these Terms.
13. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved exclusively in the courts located in Toronto, Ontario.
14. Miscellaneous
These Terms constitute the entire agreement between the parties regarding the Service.
We may amend these Terms by posting an updated version; continued use constitutes acceptance.
If any provision is held invalid, the remainder remains in effect.
